These Terms of Service ("Terms") govern your access to and use of the Ideas.net website and services ("Service") operated by World Corporation ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

By creating an account, accessing, or using the Service in any manner, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be bound by them and by our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" will include that organization.

Ideas.net is a software-as-a-service (SaaS) platform that allows users to create idea boards, submit ideas, and vote on submissions. The Service is available via https://ideas.net and may be embedded on third-party domains via our custom domain feature.

We reserve the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

You may not create more than one account per person. You may not create an account on behalf of someone else without their permission.

We offer a free tier of the Service subject to the limitations described on our Pricing page. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are in U.S. dollars and are non-refundable except as expressly set forth in these Terms.

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and you will be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the start of the next billing period.

You may cancel your subscription at any time from your Account Settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period for which you have paid. We do not provide refunds for partial periods.

If a payment fails, we will notify you and attempt to retry the charge. If payment remains outstanding for more than 14 days, we may downgrade your account to the free tier or suspend your access until payment is resolved.

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. We will collect applicable taxes where required by law.

You retain ownership of all content you submit to the Service, including idea titles, descriptions, comments, images, and links ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute your User Content solely as necessary to provide and operate the Service.

You agree not to submit User Content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene
  • Infringes any patent, trademark, trade secret, copyright, or other intellectual property right
  • Contains viruses, malware, or any other malicious code
  • Constitutes spam or unsolicited commercial communications
  • Impersonates any person or entity
  • Violates the privacy or publicity rights of any third party
  • Promotes illegal activities or discrimination

We reserve the right, but are not obligated, to remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice. Board owners are responsible for moderating content on their boards.

You are solely responsible for your User Content and the consequences of posting it. We do not endorse any User Content and expressly disclaim all liability in connection with User Content.

If you create a board on the Service ("Board Owner"), you agree to:

  • Ensure your board complies with all applicable laws and these Terms
  • Moderate content submitted to your board and remove content that violates these Terms
  • Not use your board to collect sensitive personal information from users without appropriate disclosures
  • Obtain any necessary consents if you embed the Service on your own platform
  • Be responsible for your board's users and their experience

We reserve the right to suspend or remove any board that we determine, in our sole discretion, violates these Terms or is harmful to the Service, other users, or third parties.

Paid plan subscribers may configure a custom domain to serve their board. By using this feature, you represent that you own or have the right to use the domain. You are responsible for maintaining your domain registration and DNS configuration. We are not liable for any service interruption caused by domain expiration or misconfiguration. We reserve the right to disable custom domain access if we determine the domain is being used in violation of these Terms.

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of World Corporation and its licensors. The Ideas.net name, logo, and all related marks are trademarks of World Corporation. You may not use our trademarks without our prior written consent.

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Transmit any unsolicited or unauthorized advertising or promotional material
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any portion of the Service or its related systems
  • Use automated scripts, bots, or scrapers to access or interact with the Service
  • Resell or sublicense access to the Service
  • Circumvent any usage limits or restrictions
  • Reverse engineer, decompile, or disassemble any portion of the Service

The Service integrates with third-party services including Stripe for payment processing. Your use of such services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WORLD CORPORATION DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORLD CORPORATION AND ITS SUBSIDIARIES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

You agree to indemnify, defend, and hold harmless World Corporation, its subsidiaries (including Ideas.net), officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We may terminate or suspend your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be submitted to informal negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration in Lee County, North Carolina, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

YOU AND COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on the Service and updating the effective date, and by sending an email notification to your registered email address at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
